PREAMBLE
These General Terms and Conditions of Use and Sale (hereinafter "T&Cs" or "the Terms") govern all contractual relations between ApexFPV (hereinafter "the Seller", "we", "us" or "ApexFPV") and any natural or legal person making a purchase or browsing the site (hereinafter "the Site"), operated by ApexFPV on the Shopify technical platform. The Seller is a self-employed person within the meaning of Article L.221-3 of the Consumer Code.
By accessing the Site, creating an account or placing an order, the User acknowledges that he/she has read, understood and unreservedly accepted these Terms in their entirety, as well as the Site's Privacy Policy. If the User does not accept these Terms, he/she must immediately cease all use of the Site.
ARTICLE 1 — DEFINITIONS
"Buyer / Customer": Any person who has regularized an order on the Site.
"Consumer": Natural person acting for purposes unrelated to his or her professional activity (preliminary art. Consumer Code).
"Professional": Person acting in the course of his or her professional activity.
"Order": Any purchase request formalized and confirmed on the Site.
"Products": Hardware goods offered for sale (FPV components, drones, remote controls, batteries, cameras, accessories).
"Price": Amount expressed in euros (€) including VAT applicable at the time of the Order.
"Site": ApexFPV's e-commerce site operated through Shopify.
"GDPR": Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016.
"Right of withdrawal": The right granted to the Consumer by Articles L.221-18 et seq. of the Consumer Code.
ARTICLE 2 – ACCESS TO THE SITE AND USER ACCOUNT
2.1 Conditions of access
Access to the Site is free of charge. ApexFPV strives to ensure 24/7 availability, but cannot guarantee it. Temporary interruptions for maintenance or security may occur.
2.2 Account creation
The creation of an Account may be required to complete certain purchases. The User undertakes to:
· provide accurate, truthful and up-to-date information;
· maintain the confidentiality of their login credentials;
· notify ApexFPV without delay via the contact form available on the Site of any unauthorized access to its Account.
The User is solely responsible for the activities carried out from his Account.
2.3 Legal capacity
By creating an Account or placing an Order, the User declares that he or she has full legal capacity. Minors may only make purchases with the express authorisation of their legal representative, who will be responsible for them.
2.4 Unsubscribing
The User may close his Account at any time via the contact form on the Site, without effect on current Orders.
ARTICLE 3 – PRODUCTS
3.1 Description and Compliance
ApexFPV describes its Products in accordance with Article L.111-1 of the French Consumer Code. The photographs have illustrative value and are not contractual. Minor variations may exist between the visual representation and the Product delivered.
3.2 Availability
In the event of the unavailability of a Product after an Order has been placed, ApexFPV shall inform the Buyer and offer the Buyer the following options:
· a replacement Product of equivalent or better quality and price;
· the full refund of the sums paid within fourteen (14) days.
3.3 Regulatory Compliance
Certain Products (drones, remotely operated aircraft) are subject to Regulation (EU) 2019/947, Law No. 2016-1428 and applicable ministerial decrees. It is the responsibility of the Buyer to inform himself of the regulatory obligations in his country of residence before using the Products. ApexFPV declines all responsibility for the Buyer's non-compliance with the national regulations for the use of the Products.
3.4 Legal guarantees
All Consumers are entitled to the right to:
· the legal guarantee of conformity (Art. L.217-3 et seq. of the Consumer Code);
· the warranty against latent defects (art. 1641 et seq. of the Civil Code).
ARTICLE 4 – ORDERS AND FORMATION OF THE CONTRACT
4.1 Ordering Process
In accordance with Article L.221-14 of the Consumer Code, the order is carried out according to the following steps:
1. Selection of Products and addition to cart;
2. Checking the summary (quantities, prices including VAT, delivery costs);
3. Identification or ordering as a guest;
4. Choice of delivery method;
5. Entering payment information;
6. Final summary to correct errors (double-click);
7. Firm and final validation by clicking on the payment confirmation button.
4.2 Confirmation and formation of the contract
ApexFPV will send an acknowledgement of receipt containing the summary of the Order, these Terms, the standard withdrawal form and information on the right of withdrawal. The contract is deemed to have been formed on the date the dispatch confirmation is sent. ApexFPV reserves the right to refuse any Order for legitimate reasons (proven fraud, previous payment incident, abnormally large order).
4.3 Archiving
In accordance with Article L.213-1 of the French Consumer Code, ApexFPV archives purchase orders and invoices on a reliable and durable medium. Communication available on request via the contact form on the Site.
ARTICLE 5 – PRICES AND INVOICING
5.1 Pricing
Prices are expressed in euros (€) and include all taxes (TTC). The delivery costs are shown separately in the summary. ApexFPV may change its Prices at any time; Products are invoiced at the rate in force at the time of validation.
5.2 Terms of Payment
Payment due in full upon validation of the Order. The accepted payment methods are those offered by Shopify Payments and the integrated providers (Visa credit card, Mastercard, American Express, PayPal and any other means displayed during the process). Banking information is transmitted via SSL/TLS protocol. ApexFPV never keeps complete bank data.
5.3 Default of payment
In the event of a payment incident, ApexFPV may cancel the Order and suspend access to the Account. Late payment penalties in accordance with Article L.441-10 of the French Commercial Code apply to Professionals.
ARTICLE 6 — SHIPPING, DELIVERY AND TRANSFER OF RISK
6.1 Delivery Area
ApexFPV delivers in mainland France, the French overseas departments and territories and the countries of the European Union under the conditions indicated on the Site. Restrictions may apply outside the EU depending on the export regulations applicable to the Products.
6.2 Time Limits
Indicative delivery times are communicated on the Site and in the Order confirmation, in working days from the date of the shipment confirmation. In the event of an overstay of more than seven (7) days without legitimate reason, the Consumer may terminate the contract in accordance with Article L.216-6 of the Consumer Code.
6.3 Risk Transfer
In accordance with Article L.216-4 of the French Consumer Code, the risk of loss or damage is transferred to the Consumer at the time of physical possession of the Products.
6.4 Receiving and Verification
In the event of apparent damage or missing, the Buyer must make specific reservations on the delivery note and notify the carrier and ApexFPV within three (3) working days of delivery.
6.5 Force majeure
ApexFPV is not responsible for delays resulting from circumstances constituting a case of force majeure within the meaning of Article 1218 of the Civil Code.
ARTICLE 7 – RIGHT OF WITHDRAWAL
7.1 Principle and Time Frame
In accordance with Articles L.221-18 et seq. of the Consumer Code, transposing Directive 2011/83/EU, the Consumer has a period of fourteen (14) calendar days to exercise his right of withdrawal without having to justify reasons or bear penalties, with the exception of the return costs. This period runs from the day after the physical possession of the goods (or the last goods in the case of multiple deliveries).
7.2 Exercising the right of withdrawal
To exercise their right of withdrawal, the Consumer must notify ApexFPV by unambiguous statement:
· via the contact form available on the Site;
· by post to: ApexFPV — 4B rue Alfred Nobel, 77420 Champs-sur-Marne;
· or by using the standard withdrawal form reproduced in Appendix 1 below.
7.3 Returning Products
The Consumer who has exercised his right of withdrawal must return the good to ApexFPV within fourteen (14) calendar days of the communication of his decision. Direct return costs are the responsibility of the Consumer, unless otherwise specified. The Products must be returned in their original condition, complete and, if possible, in their original packaging.
7.4 Refund
ApexFPV will refund in full the sums paid, including the initial delivery costs (excluding surcharges for non-standard delivery methods), within fourteen (14) days of receipt of the Products or proof of shipment, by the same means of payment, at no additional cost.
7.5 Depreciation
The Consumer is responsible for any depreciation resulting from manipulations other than those necessary to establish the nature, characteristics and proper functioning of the good (Art. L.221-24 of the Consumer Code).
7.6 Exceptions
In accordance with Article L.221-28, the right of withdrawal does not apply to:
· goods manufactured to the Consumer's personalized specifications;
· property that is likely to deteriorate or expire quickly;
· goods unsealed after delivery for reasons of hygiene or health protection;
· goods inseparably mixed with other items after delivery.

ARTICLE 8 — INTELLECTUAL PROPERTY
8.1 ApexFPV Rights
All the components of the Site (texts, graphics, photographs, videos, logos, trademarks, icons, software, databases) are the exclusive property of ApexFPV or its licensors, protected by the French Intellectual Property Code (copyright art. L.111-1 et seq.; trademark law art. L.711-1 et seq.; database law art. L.341-1 et seq.).
8.2 Prohibited Uses
Any reproduction, representation, modification, extraction, reuse or exploitation, in whole or in part, by any process whatsoever, is prohibited without the prior written consent of ApexFPV. Reproduction for strictly personal and non-commercial purposes is tolerated with acknowledgement of the source.
8.3 Hypertext links
The creation of links to the Site is authorized provided that it does not damage the image of ApexFPV. Framing links are expressly prohibited without prior written permission.
ARTICLE 9 — OPTIONAL THIRD-PARTY TOOLS
ApexFPV may make available tools developed by third parties over which it has no control. These tools are made available "as is" and "as available", without guarantee. ApexFPV declines any liability resulting from their use. The User must ensure that he/she accepts the terms and privacy policy of the relevant third-party providers.
ARTICLE 10 — LINKS TO THIRD-PARTY SITES
The Site may contain links to third-party sites, provided for information purposes only without validation of their content by ApexFPV. ApexFPV is not responsible for the content, availability, or practices of such sites. The User accesses it under his own responsibility.
ARTICLE 11 — RELATIONSHIP WITH SHOPIFY
11.1 Role of Shopify
The Site is hosted on the technical infrastructure of Shopify International Limited, a company incorporated under Irish law, a technical services provider (SaaS). Shopify is not a party to the sales agreement between ApexFPV and Buyer.
11.2 Data processing by Shopify
Shopify may process Personal Data as a processor of ApexFPV, in accordance with Article 28 of the GDPR. For information about Shopify's practices, please see the Privacy Policy available at www.shopify.com.
ARTICLE 12 – PRIVACY POLICY AND GDPR
12.1 Data Controller
ApexFPV — CHAUVIN Jordan, 4B rue Alfred Nobel, 77420 Champs-sur-Marne — is responsible for the processing of your Personal Data within the meaning of Article 4(7) of the GDPR.
12.2 Data collected
· Identification: surname, first name, email, telephone;
· Delivery/invoicing: postal address, intra-community VAT (Professionals);
· Transactions: order history, amounts, payment methods (without complete bank details);
· Login: IP address, browsing data, cookies;
· Communications: Exchanges with customer service.

12.4 Recipients
Logistics providers, secure payment, hosting (Shopify), IT maintenance, judicial and administrative authorities in case of legal obligation. No Personal Data is sold to third parties for commercial purposes.
12.5 Transfers outside the EU
Some processors may process Data outside the EU. These transfers are governed by standard contractual clauses adopted by the European Commission (Art. 44 et seq. GDPR).
12.6 Retention period
· Active account: duration of the contractual relationship;
· Transactional data: 10 years (statutory accounting obligations);
· Cookies and trackers: 13 months maximum;
· Commercial prospecting: 3 years since the last contact.
12.7 Cookies
In accordance with Law No. 78-17 of 6 January 1978 and the CNIL's guidelines, a consent collection banner is displayed for cookies that are not strictly necessary. Preferences can be modified at any time via the Site's cookie manager.
12.8 Rights of data subjects
In accordance with Articles 15 to 22 of the GDPR, you have the rights of access, rectification, erasure, limitation, portability, opposition, not to be subject to automated decision-making and to define post-mortem directives. ARTICLE 13 – OPINIONS AND FEEDBACK
By posting a review, the User grants ApexFPV a non-exclusive, worldwide, royalty-free license to use, reproduce and publish such content for commercial or communication purposes. The User guarantees the accuracy and sincerity of his opinions and their compliance with the rights of third parties. ApexFPV reserves the right to remove any notice contrary to these Conditions, public order or morality. ApexFPV complies with Regulation (EU) 2022/2065 (Digital Services Act) on the authenticity of online reviews.
SECTION 14 — ERRORS, INACCURACIES AND OMISSIONS
ApexFPV strives to keep the information accurate and up-to-date but cannot guarantee its completeness. In the event of an obvious pricing error, ApexFPV will contact the Buyer to offer confirmation at the corrected price or cancellation with full refund of any sums received.
SECTION 15 — PROHIBITED USES
The User undertakes not to:
· use the Site for any purpose that is unlawful, fraudulent or contrary to these Terms;
· violate any applicable local, national or international laws or regulations;
· collect Personal Data from other Users without their consent;
· transmit unsolicited data (spam, chain letters, etc.);
· extract or reproduce the content of the Site for commercial purposes without prior authorization;
· use robots, scrapers or any unauthorized automated access (see section 16);
· introduce viruses, Trojan horses or malware;
· attempt to gain unauthorized access to the Site's servers or databases;
· Conduct DoS/DDoS attacks or any disruptive attacks.
· impersonate ApexFPV, its representatives or other Users;
· reproduce, sell, or exploit any portion of the Site for any commercial purpose without prior written permission.
Failure to do so may result in immediate suspension or termination of the Account, without prejudice to any civil or criminal remedies.
SECTION 16 – ARTIFICIAL INTELLIGENCE AGENTS AND AUTOMATED ACCESS
16.1 Application
This section applies to any access to the Site via artificial intelligence (AI) agents, crawlers, scrapers, automated browsers, scripts or any automated access systems, including LLMs (Large Language Models) and agentic AI systems.
16.2 Prohibition in principle
Any automated access for the purposes of systematic data extraction, automated account creation, automated placing of Orders or non-human use of the Site is expressly prohibited, except with the prior written consent of ApexFPV.
16.3 Access Authorized by Exception
· Legitimate web crawlers (Googlebot, Bingbot, etc.) in accordance with the Site's robots.txt file;
· AI agents expressly mandated by a Human User for a specific and punctual operation, within the limits of these Terms.
16.4 Operator's Liability
Any person deploying an AI agent to access the Site remains personally and severally liable for compliance with these Terms, Orders placed through the agent and any damage caused.
16.5 Technical measures
ApexFPV can set up CAPTCHA systems, rate limiting or IP blocklists. The circumvention of these measures is prohibited and engages the civil and criminal liability of its author (art. 323-1 et seq. of the Criminal Code).
16.6 Training AI Models
The use of the content of the Site for the purpose of training AI models is expressly prohibited without prior written authorization, in accordance with the rights protected by the Intellectual Property Code.
ARTICLE 17 – TERMINATION
17.1 By ApexFPV
ApexFPV may terminate or suspend an Account without notice, in particular in the event of: violation of these Terms, fraudulent or criminal conduct, persistent failure to comply with payment obligations, conduct detrimental to the interests of ApexFPV, other Users or third parties.
17.2 By the User
The User may close his Account at any time (art. 2.4), without effect on the obligations prior to the termination.
17.3 Effects of Termination
Termination does not release the parties from the obligations that arose previously. In particular, articles 8, 12, 18, 19 and 20 survive.
ARTICLE 18 — EXCLUSIONS AND LIMITATIONS OF WARRANTIES
18.1 Mandatory legal guarantees
The legal guarantees of the Consumers may not be limited or excluded contractually and prevail over any provision to the contrary:
· legal guarantee of conformity (art. L.217-3 et seq. of the Consumer Code);
· guarantee against latent defects (art. 1641 et seq. of the Civil Code).
18.2 Contractual Limitation of Warranty
Subject to legal warranties, ApexFPV does not warrant that the Site will operate continuously, uninterrupted, secure, or error-free. The content of the Site is provided for informational purposes.
18.3 FPV Use
ApexFPV is not responsible for any damage resulting from use of the Products not in accordance with the instructions, applicable regulations or safety recommendations of the manufacturers. The Buyer must have the necessary skills, authorizations and insurance for the use of the Products.
ARTICLE 19 — LIMITATION OF LIABILITY
19.1 Principle
ApexFPV, its directors, service providers and partners cannot be held liable beyond what applicable and mandatory French law authorizes to limit.
19.2 Exclusions (to the extent permitted by applicable law)
ApexFPV excludes its liability for:
· indirect damages (loss of profits, loss of data, business interruption);
· unauthorized access to any Data or Account through no fault of ApexFPV.
19.3 Mandatory consumer clauses
In accordance with Article L.212-1 of the French Consumer Code, nothing in these Terms may exclude or limit:
· ApexFPV's liability for bodily injury to a Consumer;
· liability in the event of fraud or gross negligence;
· legal guarantees of conformity and against latent defects;
· rights creating a significant imbalance to the detriment of the Consumer.
19.4 Liability to Professionals
With regard to Professionals, ApexFPV's liability is limited to the total amount of the sums actually paid in respect of the Order that generated the damage.
ARTICLE 20 — INDEMNIFICATION
The User agrees to defend, indemnify and hold harmless ApexFPV, its directors, employees and agents against any claim resulting from: the violation of these Terms, the use of the Site in violation of applicable law, or any content published by the User. This obligation does not apply to Consumers to the extent that it is contrary to mandatory rights arising from consumer law.
ARTICLE 21 — SEVERABILITY
If any provision is found to be void or unenforceable, it shall be deemed unwritten and the remaining provisions shall remain in full force and effect. The parties undertake to negotiate in good faith an alternative provision that best reflects the original intent.
ARTICLE 22 — WAIVER AND ENTIRE AGREEMENT
Failure to exercise a right does not constitute a waiver for the future. These Terms, the Privacy Policy and any special terms constitute the entire agreement between the parties and supersede any prior agreements.
ARTICLE 23 – ASSIGNMENT
ApexFPV may assign its rights and obligations to any third party, in particular in the context of a business transfer or restructuring, subject to the rights of the Consumers. The User may not assign his/her rights without the prior written consent of ApexFPV.
ARTICLE 24 – APPLICABLE LAW AND COMPETENT JURISDICTION
24.1 Governing Law
These Terms and Conditions are governed by French law, without prejudice to the protective provisions of European Union law and the mandatory provisions of the Consumer's country of habitual residence (Regulation (EC) No. 593/2008 Rome I).
24.2 Jurisdiction
Consumers: jurisdiction of the place of domicile at the time of the conclusion of the contract (Art. L.141-5 of the Consumer Code; Regulation (EU) No. 1215/2012, Brussels I bis). Professionals: exclusive jurisdiction of the Commercial Court of Champs-sur-Marne.
ARTICLE 25 – MODIFICATION OF THE GENERAL TERMS AND CONDITIONS
ApexFPV may modify these Terms at any time. The changes take effect when they are posted online. Substantial changes shall be notified by any appropriate means. The version applicable to an Order is the one in force on the date of its validation. Continued use of the Site after notification of the changes constitutes acceptance of the new Terms.

ApexFPV undertakes to respond to any complaint within a maximum of two (2) working days.
26.2 Consumer mediation — Legal obligation
In accordance with Articles L.612-1 et seq. of the French Consumer Code and Ordinance No. 2015-1033 of August 20, 2015, ApexFPV adheres to the consumer mediation system. In the event of a dispute that has not been resolved after the amicable means have been exhausted, the Consumer may refer the matter free of charge:

Referral period: one (1) year from the written complaint sent to ApexFPV. Mediation is an amicable settlement procedure and does not deprive the Consumer of his right of access to the competent courts.
